1. Acceptance of Terms

By accessing our website, filling out any forms, booking consultations, or using any services provided by The Digital GC ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

2. Description of Services

The Digital GC provides construction consulting services including, but not limited to, site operations and efficiency consulting, safety consulting and COR preparation, systems implementation, and bookkeeping diagnostics (in partnership with Starlight Financial Services). We also operate The DGC Academy, an educational community for construction professionals.

3. Eligibility

Our services are intended for businesses and individuals operating in the construction industry. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your company.

4. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information when filling out forms or communicating with us
  • Keep any account credentials or access information confidential
  • Use our services only for lawful purposes
  • Not attempt to interfere with or disrupt our services or systems
  • Comply with all applicable laws and regulations

5. Consulting Services

Our consulting services are advisory in nature. We provide recommendations, strategies, and guidance based on our expertise and the information you provide. The implementation of any recommendations is your responsibility. Results may vary based on your specific circumstances, market conditions, and implementation.

6. Payment Terms

Payment terms for specific services will be outlined in separate service agreements or proposals. Generally, payment is due as specified in your service agreement. We reserve the right to suspend or terminate services for non-payment.

7. Intellectual Property

All content, materials, frameworks, templates, and methodologies provided by The Digital GC remain our intellectual property unless otherwise specified in writing. You may use materials provided to you for your internal business purposes but may not redistribute, resell, or share them publicly without our written consent.

8. Confidentiality

We treat the information you share with us as confidential. We will not disclose your confidential business information to third parties except as outlined in our Privacy Policy (such as sharing with Starlight Financial Services for financial services you request) or as required by law.

9. Limitation of Liability

To the maximum extent permitted by law, The Digital GC, its owners, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising from or related to our services shall not exceed the total amount you paid to us for services in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results, outcomes, or financial performance from our consulting services. Success depends on many factors including your implementation, market conditions, and business circumstances.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Digital GC and its owners, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate an ongoing service relationship with written notice as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other users.

13. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from or related to these terms or our services shall be resolved in the courts located in Alberta, Canada, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. If we cannot resolve the dispute within thirty (30) days, either party may proceed with formal dispute resolution. We encourage mediation as a first step before litigation.

15. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. We encourage you to review these terms periodically.

16. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and The Digital GC regarding your use of our services and supersede any prior agreements or understandings.
